There is a text file in the zip that tells you where to put it. It has been a while so I don't rember but I think you have to create the directory it goes in.

Create a folder called Models inside of Second Encounter Folder
Create a folder called Weapons inside of Models Folder
Create a folder called Kife inside of Weapons Folder

Put all three files in the Knife folder

ModelsWeaponsKnife
You may have to create the weapons and knife folder if you don't have one.

This is from the readme :

Phoenix Knife replacement for the Knife in SS:SE
Author: TheHappyHomo
Website: www.deadlydood.com

Extract the Knife.mdl, KnifeItem.mdl and KnifeItem.tex
to the Models/Weapons/Knife folder

U will need time to reacquaint yourself with the new hitspot
on the weapon.

Remember to save the originals to a seperate folder before
you unzip.

Any knife replacement will have the same properties as the original knife. It would take a mod to change that. The WCFD clan had a cane replacement for the knife. It was difficult to use because it was longer than the knife. It made you think it had more reach, but it didn't. The knife is the knife. It doesn't matter what it looks like. It acts exactly the same as the SS knife. Sorry to burst anyone's bubble.
