Dont worry Whocares, i know my providers, thanks though. Im just confused on what there saying. It says here:
If you are interested in the SBC Yahoo! DSL service, you must contact them. If you do nothing, your service will be disconnected when DIRECTV Broadband shuts down its network.

But it also says:

We have reached a tentative agreement with SBC to transition your broadband service to SBC Yahoo! DSL service. As SBC currently provides the last-mile connectivity to our customers in the SBC region, this is the best alternative for a minimum of disruption to your high-speed Internet service. We will be maintaining your DIRECTV DSL service while we finalize our plans with SBC, and more definitive details will be coming soon.

So am i just making a transition and continue paying the monthly fee, or do I have to pay more for setup n stuff?

I contacted them now and they said someone would call me in 5 business days.

That seems like a great deal.
More tham likely your upload will be around 400 to 600 which is still great.
Find out how far from their mainframe you live.

It sounds strange and kinda hard for me to explain, But it isn't figured "As the crow flies". Users are connected to a loop and the measurements are figured on it.

From what I understand for DSL, you have to be within a certain distance from a telephone relay station to be able to receive DSL service. If you are too far away there is too much data loss (noise, signal degradation). I have a feeling that we are right on the outer limit of our service area.

With DirecTV DSL i was getting over 1mb (constant) downloads, and less than average uploads (88kb~). Your right SIRC, it does depend on distance. It usually is roughly 3 miles.

For that reason I went with cable.
I am on a business class plan.
The relay station is about 40 miles from me.
The service I use is only 5 miles away.

Is there a product out there that helps with the interference noises.
A filter of sorts.

Not that I'm aware of. If your signal is clean at the box outside your home, The best thing you can do is make a homerun directly from the box outside to your dsl jack inside and keep it as short as possible and away from elec. interference. If you have to run near elec. cords it's best to intersect ( +) them rather than run parallel to them. Also coiled up elec. cords may look neat, But they put out interference.
